1. Introduction & Acceptance of Terms

Welcome to K6 Digi ("K6 Digi," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at k6digi.com (the "Site") and the digital marketing and creative services we provide (collectively, the "Services").

By accessing the Site or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Site or Services. These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and K6 Digi.

2. Services Offered

K6 Digi offers a range of digital agency services, including but not limited to:

• Web Design & Development (including WordPress)
• Video Ads & Editing
• Branding & Identity Design
• Social Media Marketing & Management
• Content Creation & Copywriting (including Bilingual English/Urdu)
• Lead Generation

The specific scope, deliverables, timelines, and fees for any project will be outlined in a separate, written proposal or service agreement ("Project Agreement") mutually agreed upon by you and K6 Digi. The Project Agreement takes precedence over these Terms in case of any conflict regarding project specifics.

3. Client Responsibilities

To ensure the successful and timely completion of projects, you agree to:

• Provide all necessary information, materials, brand assets (logos, style guides, etc.), and content required for the project in a timely manner.
• Provide clear, constructive feedback and approvals within the agreed-upon timeframes specified in the Project Agreement.
• Designate a primary contact person authorized to make decisions and provide approvals on your behalf.
• Ensure that any materials provided by you (text, images, logos, etc.) do not infringe upon the intellectual property rights of any third party.

Delays in providing necessary materials, feedback, or approvals may result in adjustments to project timelines and potentially additional costs.

4. Payment Terms

• Fees for Services will be detailed in the applicable Project Agreement.
• Payment schedules (e.g., deposits, milestone payments, final payments) will also be outlined in the Project Agreement.
• Invoices are typically due upon receipt unless otherwise specified.
• Failure to make timely payments may result in the suspension of work, withholding of deliverables, or termination of the Project Agreement. Late payments may be subject to interest charges as permitted by law.
• All fees are generally non-refundable unless explicitly stated otherwise in the Project Agreement.

5. Intellectual Property Rights

• Client Content: You retain all ownership rights to the content, materials, and assets you provide to us for use in the project.
• Deliverables: Upon full and final payment for a project, K6 Digi grants you full ownership and rights to the final, approved project deliverables specifically created for you under the Project Agreement (e.g., final website design, final video edits, final logo design).
• K6 Digi Property: We retain ownership of all pre-existing materials, tools, software, methodologies, know-how, and intellectual property used or developed by us outside the scope of your specific Project Agreement. We grant you a non-exclusive, non-transferable license to use any such K6 Digi Property solely to the extent necessary to utilize the final project deliverables.

6. Confidentiality

Both K6 Digi and the Client agree to keep confidential all non-public information received from the other party that is designated as confidential or would reasonably be understood to be confidential ("Confidential Information"). This includes business strategies, client lists, project details (before public launch), and proprietary processes. This obligation does not apply to information that is publicly known, already known by the receiving party, independently developed, or required to be disclosed by law.

7. Warranties and Disclaimers

• K6 Digi warrants that Services will be performed in a professional and workmanlike manner.
• EXCEPT FOR THE FOREGOING, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
• K6 Digi does not guarantee specific business outcomes, search engine rankings, lead volumes, sales increases, or other results from the use of our Services, as these depend on various factors beyond our direct control (e.g., market conditions, your own sales processes, product quality).

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL K6 DIGI, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (III) ANY CONTENT OBTAINED FROM THE SITE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL LIABILITY IN ANY MATTER ARISING OUT OF OR RELATED TO THESE TERMS OR A PROJECT AGREEMENT IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE LIABILITY.

9. Term and Termination

• These Terms remain in effect as long as you use our Site or Services.
• Specific project durations will be defined in the Project Agreement.
• Either party may terminate a Project Agreement upon written notice if the other party materially breaches the agreement and fails to cure such breach within a reasonable timeframe (e.g., 15-30 days) after receiving notice.
• We reserve the right to suspend or terminate Services immediately for non-payment or violation of these Terms.
• Upon termination, you are responsible for paying for all Services rendered up to the termination date. We will deliver any completed work for which payment has been received. Confidentiality and Intellectual Property provisions shall survive termination.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Islamabad, Pakistan.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect (e.g., by posting on the Site). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site or Services after any revisions become effective, you agree to be bound by the revised terms.
